TERMS OF SERVICE

Welcome to the EforAll Alumni Directory website (the “Site”). Please review these Site Terms of Service, which govern your use of the Site.

This Site is operated by STRADS Consulting, a private LLC, and also referred to in these Terms as “we”, “us”, “our”, or similar terms). These Terms describe the conditions under which this Site is being made available to you, whether you are a visitor or a registered member or Provider (as defined below). These terms discuss important limitations and restrictions about the way you may use and rely upon this Site and any materials contained on this Site. Please read these Terms carefully. By continuing to access or use this Site, you agree to be bound by these Terms and to any additional terms, guidelines, policies, restrictions, or rules that may be posted in connection with specific sections or services of this Site (collectively, “Additional Rules”).

If you do not accept these Terms and such Additional Rules, as applicable, you may not use this Site or such applicable section or service of this Site. STRADS Consulting reserves the right to make changes to this Site and to these Terms at any time without prior notice.  If any such changes are made to these Terms, they will be posted on this Site. Therefore, we encourage you to review these Terms and Additional Rules posted on this Site for potential changes when you return to the Site in the future.

DESCRIPTION OF SERVICE:

The Site is a business directory designed to provide easy access to find and connect with the businesses of Alumni of the EforAll Business Accelerator program. Although STRADS Consulting takes reasonable care to ensure that any information that it posts on the Site is correct and up to date when initially posted, STRADS Consulting cannot continually verify the accuracy of such information and STRADS Consulting makes no representation or warranty, either express or implied, as to the completeness, accuracy or suitability of any such information.

YOUR PRIVACY:

STRADS Consulting recognizes the importance of protecting the privacy of information we collect from all of our on-line users. We are committed to respecting the privacy of anyone coming to the Site. While STRADS Consulting does not require that our users provide personally identifiable information other than their name and email address, our Privacy Policy describes how STRADS Consulting uses any such personally identifiable information provided to and on our Site by our users. Please refer to our Privacy Policy posted in our Site for further information. You understand that through your use of the Site, you consent to the collection and use (as set forth in the Privacy Policy) of this information, including the transfer of this information to the United States and/or other countries for storage, processing and use by STRADS Consulting.

This Site, including the software, design, layout, and Materials comprising this Site, is owned or licensed by STRADS Consulting Corp. and are protected by law, including, but not limited to, United States and international intellectual property law, as well as other state, federal and international laws and regulations. We (or the parties providing certain Materials through the Site) retain all copyright and other proprietary rights contained in the original Materials or any copies of the Materials available through the Site. You may view and electronically copy the pages of this Site in the usual operation of your web browser in visiting this Site for your personal use but for no other purpose. Any other use of the Material contained on this Site, such as copying, distributing, selling, modifying, transmitting, reusing, re-posting or publishing is strictly prohibited, without the copyright owner’s specific written permission. Unauthorized use of Materials from this Site will not only breach these Terms, but may violate copyright and other laws. The EforAll and EparaTodos logos displayed on this Site are registered and unregistered trademarks of EforAll.org., its grantees, and others. Use of any of EforAll.org logos displayed on the Site, or the Materials or any other content of STRADS Consulting on the Site, without our express prior written permission is strictly prohibited. Other names and logos contained in this Site or in the Materials are trademarks and service marks of our members, the registered Providers or other third-party entities, and may not be used without the permission of the trademark or service mark owner.

Information that You Put on Our Web Site.

Whenever you place on or submit Materials to the Site, you are required to comply with all of the terms and conditions set forth in the Use of Site section of these Terms.

For information and materials you place on an area of the Site that is not publicly available (“Non-Public Materials”), please see our Privacy Policy for an explanation of how we use that information as well as a description of your rights to change or delete such information.

USE OF SITE:

User Account, Password and Security.

All access to the EforAll Alumni Directory and participation in the site is at the discretion of the Alumni and no account is required to use or browse the Directory.

The technical processing and transmission of the Site, may involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices. The Site and software embodied within the Site may include security components that permit digital materials to be protected, and use of these materials is subject to usage rules set by us and/or content providers who provide content to the Site. You may not attempt to override or circumvent any of the usage rules embedded into the Site. Any unauthorized reproduction, publication, further distribution or public exhibition of the Materials provided on the Site, in whole or in part, is strictly prohibited.

LINKS TO OTHER SITES:

The Site may contain hypertext links to and from other websites or resources. Such links are provided for your convenience only and are not intended as (and are not) an endorsement by STRADS Consulting of the organizations operating such other websites. STRADS Consulting is not responsible for the content those sites contain or for their privacy practices. These other websites are maintained by third parties over whom we exercise no control. The Alumni Directory is free to any EforAll Alumni that wishes to use the site and is willing to comply with these Terms of Service.

YOU EXPRESSLY AGREE THAT YOUR USE OF THE SITE, INCLUDING BUT NOT LIMITED TO YOUR USE OF OR RELIANCE ON ANY MATERIALS OR YOUR USE OF ANY PRODUCT, SERVICE OR PROCEDURE OFFERED BY A PROVIDER LISTED ON THIS SITE, IS AT YOUR SOLE RISK. In the event of any problem with this Site, any Materials, or any products, services obtained on or through this Site, you agree that your sole remedy is to cease using such items. INDEMNITY:

You agree to defend, indemnify, and hold STRADS Consulting and our affiliates, and our and their respective directors, officers, members, employees, agents, representatives, attorneys, successors and assigns, harmless from and against any and all claims, proceedings, damages, injuries, liabilities, losses, costs and expenses, including reasonable attorneys’ fees and litigation expenses, relating to or arising from your use or misuse of the Site or any of the Materials provided by us, or any products, services or procedures obtained from or through the Materials or the Site, or any arrangements you make on our Site or based on any information you obtained from or through the Materials or the Site, or any breach by you of these Terms, or any violation of any third party right, including without limitation any intellectual property, privacy or publicity right, by you or any user of your account. This indemnification obligation will survive these Terms and your use of the Site.

GOVERNING LAW:

This Agreement shall be deemed to be made under, and in all respects shall be interpreted, construed and governed by and in accordance with the laws of the Commonwealth of Massachusetts, USA, without regard to its choice of law principles, and all disputes arising out of or in connection with this Agreement, regardless of theory, shall be subject to jurisdiction of the Federal and State courts located in the Commonwealth of Massachusetts.

You agree that any legal action or proceeding under or with respect to these Terms or your use of the Site or any Materials or other information you obtain on or thorough the Site may be brought only in the above-mentioned courts. For the purpose of any such legal action or proceeding, you hereby submit to the jurisdiction of such courts. You hereby agree not to raise and waive any objection to or any defense based upon the venue of such courts and any objection or defense based upon an inconvenient form. You also agree not to bring any legal action or proceeding under or with respect to these Terms or your use of the Site or any Materials or other information you obtain on or through the Site outside the above courts of the State of Massachusetts unless, for some reason, the above referenced courts refuse or do not have jurisdiction in the matter. These Terms will not be governed in any manner by the United Nations Convention on Contracts for the International Sale of Goods, the application of which is expressly excluded.

STRADS Consulting controls its Site from its offices within the Commonwealth of Massachusetts in the United States of America, and the Site is hosted on servers located in the United States of America. The Site can be accessed from any of the United States and from other countries worldwide. Since the laws of each State or country able to access the Site may differ, by accessing the Site both you and STRADS Consulting agree that the statutes and laws of the Commonwealth of Massachusetts, without regard to choice of laws principles, will apply to all matters relating to use of the Site.

STRADS Consulting makes no representation that any of the Materials on the Site are appropriate or available for use in other locations, and accessing them from territories where their contents are illegal is prohibited. Those who choose to access these Sites from other locations shall do so on their own initiative and are solely responsible for compliance with local laws.

Notice and Procedures for Making Claims of Copyright Infringement Under the Digital Millennium Copyright Act

STRADS Consulting respects the intellectual property of others, and we ask our users to do the same. If you believe that your work has been copied in a way that constitutes copyright infringement, or your intellectual property rights have been otherwise violated, please provide STRADS Consulting with the following information:

  • an electronic or physical signature of the person authorized to act on behalf of the owner of the copyright or other intellectual property interest;
  • a description of the copyrighted work or other intellectual property that you claim has been infringed;
  • a description of where the material that you claim is infringing is located on the Site;
  • your address, telephone number, and email address;
  • a statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;
  • a statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright or intellectual property owner or authorized to act on the copyright or intellectual property owner’s behalf.

These Terms constitutes the entire agreement between you and STRADS Consulting and governs your use of the Site, superseding any prior version of these Terms. You also may be subject to additional terms and conditions that may apply when you subscribe to certain other services offered by STRADS Consulting (which services may relate to your use of the Site), affiliate services, or third-party products, services or procedures. If any of these Terms is invalid or unenforceable, it will be struck out, and the remaining terms will remain in force. Headings are for reference purposes only. You agree that no agency, employment, partnership, or joint venture relationship exists between yourself and STRADS Consulting as a result of your usage of this Site. You must use this Site in a responsible and co-operative manner. If we do not act in relation to a breach by you or others of these Site Rules, this does not waive our right to act with respect to subsequent or similar breaches. No user has the authority to modify, waive, or alter any provision of these terms and conditions. These Terms, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by STRADS Consulting without restriction. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Site or these Terms must be filed within one (1) year after such claim or cause of action arose or be forever barred.
